Tutor24Hour Independent Contractor Agreement

1. Independent contractor status
The tutor is an independent contractor and is not an employee, agent, joint venturer, partner, franchisee, or legal representative of Tutor24Hour. The tutor is not entitled to employee benefits, paid time off, overtime, unemployment insurance, workers compensation coverage, retirement benefits, or employer tax withholding from Tutor24Hour unless required by non-waivable law.
2. Control of services
The tutor controls the manner and means of performing tutoring services, including teaching style, preparation, lesson methods, tools, workspace, internet access, equipment, scheduling choices, and whether to accept available opportunities. Tutor24Hour may set marketplace, safety, payment, quality, academic integrity, and customer-protection rules without controlling the tutor’s professional judgment.
3. No guarantee of work
Tutor24Hour does not guarantee any minimum number of students, sessions, class enrollments, proposals, bookings, hours, income, or payouts. Tutors may provide services to other companies or customers, subject to confidentiality, academic-integrity, non-circumvention, and conflict rules.
4. Taxes and W-9
The tutor is responsible for all federal, state, local, self-employment, income, sales, use, and other taxes arising from tutor earnings. Tutor24Hour may require a completed W-9 or equivalent tax information before approval, payout release, or continued platform access. Tutor24Hour may use Stripe Connect or another provider to support tax identity verification and 1099-NEC reporting when legally required.
5. Stripe Connect and 1099 reporting
Tutors must complete Stripe Connect onboarding and keep payout and tax information current. Payout eligibility may depend on Stripe account status, identity verification, tax details, fraud review, customer dispute status, refund exposure, and platform approval. Stripe may collect and validate sensitive tax information directly; Tutor24Hour should avoid storing full SSNs or full TINs in ordinary application tables.
6. Compensation and fees
Tutor compensation is based on accepted platform terms, published fees, customer payments, refunds, chargebacks, promotions, and adjustments. Tutor24Hour may deduct platform fees, processing fees, refunds, chargeback amounts, credits, duplicate payments, or other permitted offsets before payout. Payouts are not wages.
7. Tutor-caused cancellations and reactivation fees
If a tutor cancels a paid service, Tutor24Hour assesses the then-current reactivation fee for each paid student affected by that cancellation. The applicable per-student amount is disclosed to the tutor before the cancellation is confirmed and is intended to recover payment-processing and cancellation-related platform costs; it is not represented as the exact Stripe fee for an individual transaction. New paid activity is restricted until all resulting reactivation fees are paid. The tutor remains able to access existing records, support, and obligations needed to resolve affected services.
8. Professional standards
The tutor must maintain accurate profile information, appropriate communication, punctuality, academic integrity, confidentiality, non-discrimination, child-safety awareness, and lawful conduct. The tutor may not complete graded work dishonestly, impersonate a student, assist cheating, harass users, collect off-platform payments in violation of platform rules, or misuse student data.
9. Tools, expenses, insurance, and licenses
The tutor is responsible for their own equipment, software, workspace, transportation if applicable, internet connection, materials, professional licenses, permits, business registrations, and insurance. Tutor24Hour is not responsible for reimbursing expenses unless a separate written agreement says otherwise.
10. Tutor educational content and permanent license
The tutor retains any ownership rights the tutor lawfully possesses. When the tutor intentionally submits educational material through Homework Help, Instant Help, Ask an Expert, Solution Hub, tutoring, courses, classes, games, tournaments, or another Tutor24Hour education workflow, the tutor grants Tutor24Hour a non-exclusive, worldwide, perpetual, unlimited, irrevocable, royalty-free, fully transferable, and fully sublicensable license to store, review, edit, adapt, translate, commercialize, index, use in Tutor24Hour-operated AI features, and make eligible material searchable. The license covers preliminary, partial, intermediate, revised, supplemental, follow-up, and final material in any supported format.
11. Originality, privacy, and academic integrity
The tutor must submit only original or properly licensed material, remove unnecessary learner personal information, and comply with academic-integrity restrictions. The tutor may not submit protected examinations, unauthorized textbook pages, answer keys, test-bank content, confidential material, or third-party content the tutor lacks authority to license. Price quotes and administrative messages containing no educational work are not educational submissions.
12. Searchable reuse and moderation
Tutor24Hour may retain submitted educational material after the original transaction or tutor relationship ends. Search publication is a separate moderation decision. Tutor24Hour may anonymize the problem, correct or reject the material, request revisions, publish it under a platform attribution, remove it later, or decline publication. No additional reuse royalty is owed unless a separate signed agreement expressly provides otherwise.
13. Acceptance and audit trail
Checking the agreement consent box and entering an electronic signature creates an electronic acceptance. Tutor24Hour may store the agreement key and version, signature name, IP address, user agent, timestamp, and submission references for legal and compliance audit purposes. Material changes require acceptance of the new active version before additional covered submissions.
14. Termination
Either party may end the contractor relationship subject to outstanding payment, refund, dispute, confidentiality, safety, content-license, and legal obligations. Tutor24Hour may suspend or remove platform access for violation of platform rules, legal risk, fraud risk, customer safety concerns, inaccurate credentials, or failed tax/payout verification. Rights already granted for submitted material survive termination.
